The Truth About Stadium Financing with Dr. Zimbalist

Saturday, August 23, 2025

Are new sports arenas and stadiums really a win for taxpayers? On this episode of Talk Law Radio, Attorney Todd Marquardt and co-host Shannon Roberta Salmon Haas sit down with Dr. Andrew Zimbalist, a renowned sports economist and professor at Smith College, to uncover the hidden truths behind stadium financing.

Dr. Zimbalist, author of Sports, Jobs, and Taxes, breaks down how municipalities use bonds and taxes to fund stadiums, why mixed-use developments rarely deliver promised benefits, and the tough trade-offs cities face when choosing between economic growth and community pride.

From the debate over a potential new San Antonio Spurs stadium to national case studies, the conversation explores:

  • How stadiums are financed through municipal bonds and taxes
  • Why projected economic growth often falls short
  • The role of public-private partnerships in stadium projects
  • Political motivations, community identity, and taxpayer risks
  • Lessons from past stadium deals in Houston, Atlanta, San Francisco, and beyond

BONUS: New Texas Business Judgment Rule: Senate Bill 29

Sunday, August 10, 2025

In this episode of Talk Law Radio, host Todd Marquardt delves into the recent changes brought about by Senate Bill 29, which became effective on May 14, 2025. This bill includes the codification of the business judgment rule into the Texas Business Organizations Code, a significant development for business owners and directors.

The business judgment rule, which has been relied upon since 1878, protects directors from liability for honest, discretionary decisions made in the corporation's interest, even if those decisions are negligent or imprudent, as long as there is no fraud, bad faith, or gross negligence involved. Previously, this rule was only applied defensively after a business was sued, but now it is explicitly written into the Texas law.

The new codification presumes that directors and officers act in good faith, on an informed basis, in furtherance of the corporation's interests, and in obedience to the law and the corporation's governing documents. This presumption can only be rebutted if it is proven that the director's or officer's actions involved fraud, intentional misconduct, an ultra vires act, or a knowing violation of the law.
Senate Bill 29 aims to provide statutory clarity and certainty for business decision-makers, encouraging more companies to operate in Texas and boosting economic development and job creation. Governor Abbott and Senator Bryan Hughes have both expressed their support for the bill, highlighting its potential to attract businesses and provide a stable legal environment for corporate governance.

Business owners are advised to review their certification of formation, operating agreements, bylaws, and minutes with a qualified attorney to ensure compliance with the new law and to identify any necessary changes or amendments.

Marquardt Law Firm sponsors the show and is offering a business deficiencies checklist by emailing [email protected] include business checklist in the subject line.

Medicaid, Elder Law & Asset Protection: What You Need to Know Before It’s Too Late

Saturday, August 2, 2025

In this episode of Talk Law Radio, elder law attorney Todd Marquardt dives deep into the complexities of Medicaid, long-term care planning, and asset protection through trusts. Drawing from over 18 years of experience and recent continuing legal education, Todd explains the differences between Medicare and Medicaid, eligibility rules, and strategies to protect your assets while still qualifying for benefits.

Elder Law, Medicaid, and Community Support Insights
Introduction and Segment 1: Elder Law and Medicaid Overview
Host Todd Marquardt, an elder law attorney with over 18 years of experience in San Antonio, opens the show by encouraging listeners to explore archived episodes that delve into complex and misunderstood legal issues, especially those related to taxes and federal regulations. He highlights his ongoing commitment to continuing legal education, often completing double the State Bar of Texas requirement of 15 hours per year.

Todd introduces the focus of the episode: elder law—a field encompassing legal counsel and representation for older adults and their families regarding health and long-term care planning, public benefits, legal capacity, estate affairs, and tax matters. He cites the National Elder Law Foundation’s definition to emphasize the wide-ranging and intricate issues involved.
Medicaid becomes a central topic as Todd explains its critical role in elder law, particularly given the rising costs of long-term care for an aging population. He distinguishes Medicaid from Medicare, noting that while Medicare covers hospitalization and some medical expenses, it does not pay for extended nursing home care—Medicaid sometimes does. Todd outlines how Medicaid eligibility and application processes have evolved, moving from in-person meetings to predominantly online, mail, or fax submissions, all requiring substantial documentation. He encourages listener engagement through calls and questions.

Segment 2: Navigating Public Benefit Programs and Medicaid Qualifying Events
After a brief break, Todd returns to share updates from recent continuing legal education on elder law, aiming to inform his audience about the latest developments. He details how different life changes—such as aging, disability, or changes in health status—can trigger transitions between public benefit programs. Medicaid, he explains, is not a single program but a set of benefits within various programs targeting different age groups and needs.
Todd walks listeners through scenarios where individuals may need to transition between Medicaid programs, such as children aging out, adults developing new health challenges, or increased care requirements. He notes that Medicaid is federally funded but state-administered, resulting in varying rules and eligibility criteria.
Key points include:
•Life events (aging, moving, health changes) can necessitate a shift in benefit programs.
•Some Medicaid programs involve waitlists and strict income/resource limits, though exceptions exist.
•Assets, household composition, and the ability to create trusts can impact eligibility—planning is important.
•The Medicaid estate recovery program may reclaim costs from beneficiaries’ estates after their death, though exceptions apply.
•Different agencies (Social Security, Veterans Affairs, Texas Health and Human Services) oversee different programs and forms.
•Applying for Medicaid is document-intensive, requiring proof of income and assets. Todd underscores the challenge of affording long-term care—such as $8,000 per month for 36 months in a nursing home—and the value of legal advice in navigating these complex processes.
He shares a personal anecdote about his grandmother’s Medicaid experience, illustrating the confusion families may face and the importance of understanding qualification rules (e.g., the $2,901/month income limit and $2,000 resource limit for nursing home Medicaid in Texas, with certain exemptions).

Segment 3: “Sinners and Saints,” Adult Protective Services, and Community Recognition
Todd uses the “Sinners and Saints” segment to address elder abuse, neglect, and exploitation, drawing on input from Adult Protective Services. He clarifies terminology (alleged perpetrators, allegations) and underscores the legal mandate for everyone to report suspected mistreatment of older or disabled individuals.

The host calls on listeners to suggest community members or organizations deserving recognition for positive contributions, especially in the aftermath of the Texas Hill Country floods. He highlights various organizations providing aid, including the American Red Cross, Catholic Charities of San Antonio, Team Rubicon, Salvation Army, World Central Kitchen, and local volunteers.
Medicaid updates are also discussed, such as the reduction in retroactive eligibility from three months to two months and the pause on minimum staffing requirements in nursing facilities.
Listener calls address insurance law, liability after natural disasters, and the legal complexities of government immunity.

Segment 4: Medicaid Asset Protection Trusts and Legacy Planning
In the final segment, Todd explains Medicaid Asset Protection Trusts, comparing them to tax planning strategies. He reassures listeners that, with proper disclosure, transferring assets to a trust is legal and ethical. He outlines the “60-month lookback period” for transfers and stresses the importance of planning ahead, rather than giving assets directly to family (which introduces risks).
He describes how different trusts can be tax-neutral and help preserve assets for long-term care without jeopardizing Medicaid eligibility. Todd encourages second opinions for those paying high nursing home costs, as legal strategies may reduce financial burden.

πŸ“Œ Episode Highlights:
• Medicaid’s role in covering long-term care as people live longer
• A personal family story that shaped Todd’s mission
• Legal, ethical asset protection strategies through trusts
• Adult Protective Services—when and how to report concerns
• The rising cost of assisted living & nursing home care
• Community heroes responding to the Texas Hill Country floods

Immigration, Deportation, & Protests with Shannon Salmon-Haas

Saturday, June 14, 2025

The show opens with "Legacy," reflecting on the enduring impact of Brian Wilson—his music, perhaps, a soundtrack to generations—and the warmth of Father’s Day, a moment to honor familial bonds. The *Talk Law Radio Show* crackled to life, diving headfirst into the legal undercurrents shaping the nation. The host leaned into the mic, unraveling a tapestry of "hidden legal issues" that pulsed beneath the headlines. First up: deportations, a lightning rod of controversy. The air grew heavy as cases like *DHS v. Svitlana*, *DVD v. DHS*, *Garcia v. Noem*, *A.A.R.P. v. Trump*, and *Trump v. CASA* were dissected, each a battleground over borders and belonging. The conversation shifted to free speech, where voices clash over what can be said and where. Protests, vibrant and volatile, spilled into the discussion, followed by the darker edge of riots and their legal fallout. The National Guard’s role surfaced, tethered to a pivotal court case that raised questions of power and order. As the segment closed, the host paused to honor Flag Day, its symbolism woven into the fabric of the nation, before touching on the spectacle of military parades and their deeper implications.

The mood softened as the show turned to "Sinners and Saints," a segment celebrating Thurgood Marshall’s trailblazing nomination as the first African American Supreme Court Justice in 1967. His words echoed through the studio: “We will only attain freedom if we learn to appreciate what is different, and muster the courage to discover what is fundamentally the same.” The quote hung in the air, a call to unity in fractured times.

As the broadcast faded, listeners were left with a sense of the law’s vast reach, touching everything from courtrooms to culture, from past heroes to present struggles.

As you consider the division, conflict, and danger in politics today as well as man and women's ability with God's help to rise above, heal, and find consensus think about your legacy.
